1. Definitions
In these Terms and Conditions:
- "We", "Us", "Our", "Amanah Legal" refers to the legal practice operating under that name at 15-3, Menara Amanah, Jalan Sultan Ismail, 50250 Kuala Lumpur, Malaysia
- "Service" means the professional legal services provided by Amanah Legal, including corporate formation, business registration, and corporate restructuring counsel
- "Client", "You", "Your" refers to the individual or entity engaging our services or using our website
- "Website" means the website accessible at amanahlleer.live
- "Engagement Letter" means the written agreement between Amanah Legal and the Client governing a specific matter
- "Agreement" means these Terms and Conditions together with any applicable Engagement Letter
2. Acceptance of Terms
By using our website, submitting an enquiry, or engaging our professional services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to engage our services. By engaging Amanah Legal, you confirm that you have the authority to do so on behalf of any company or organisation you represent.
3. Service Description
Amanah Legal provides the following professional legal services in Malaysia:
- Sdn Bhd incorporation and company registration under the Companies Act 2016
- Foreign branch and subsidiary registration and advisory services
- Corporate restructuring counsel, including share transfers, amalgamations, and capital reduction proceedings
- Related corporate governance and compliance advisory
Services are available to clients located in Malaysia and internationally, subject to applicable cross-border legal restrictions. All services are subject to completion of our client onboarding and due diligence process.
4. Engagement and Client Onboarding
A formal engagement commences only upon the execution of an Engagement Letter by both parties. Before issuing an Engagement Letter, Amanah Legal will conduct client identity and due diligence checks as required under the Anti-Money Laundering, Anti-Terrorism Financing and Proceeds of Unlawful Activities Act 2001 (AMLATFPUAA). We reserve the right to decline to act for any prospective client without providing reasons.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate, complete, and up-to-date information at all times
- Promptly notify us of any changes to information you have provided
- Not use the website for any unlawful purpose or in violation of applicable Malaysian law
- Not transmit any malicious code, spam, or content that infringes third-party rights
- Maintain the confidentiality of any access credentials provided to you
6. Intellectual Property
All content on this website, including text, logos, design elements, and written materials, is the intellectual property of Amanah Legal or is used under licence. You may not reproduce, redistribute, or commercially exploit website content without our express prior written consent.
Work product produced specifically for your engagement (such as drafted constitutions and resolution documents) is delivered to you for use in connection with that engagement. Amanah Legal retains copyright in any template, methodology, or precedent used in producing that work product.
7. Fees and Payment
Our professional fees and applicable disbursements are set out in the Engagement Letter for each matter. Unless otherwise agreed, invoices are payable within 14 days of issue. We accept payment by bank transfer to our client account. Fees are quoted in Malaysian Ringgit (MYR).
Government fees payable to SSM, MIDA, or other regulatory bodies are disbursements payable by the client in addition to professional fees. We will provide an estimate of such disbursements at the outset of each engagement.
Amanah Legal does not offer refunds on professional fees for work already performed. If an engagement is terminated by the client before completion, fees will be charged on a time-spent or milestone-completed basis as specified in the Engagement Letter.
8. Professional Advice Disclaimer
The information on this website is provided for general informational purposes only and does not constitute legal advice. Specific legal advice can only be provided through a formal engagement following a proper review of your circumstances. Amanah Legal is not responsible for any reliance placed on general information published on this website.
Professional advice given within a client engagement is specific to that matter and should not be applied to different circumstances without further consultation.
9. Limitation of Liability
To the maximum extent permitted by Malaysian law, Amanah Legal's aggregate liability to any client for any claims arising out of a matter shall not exceed the professional fees paid by the client in respect of that specific matter. We are not liable for indirect, consequential, special, or punitive damages arising out of or in connection with the services or this website.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.
10. Indemnification
You agree to indemnify and hold Amanah Legal harmless against any claims, losses, or expenses (including legal costs) arising from your breach of these Terms, provision of inaccurate information, or your unlawful use of the website or services.
11. Confidentiality
Information you share with Amanah Legal in the course of an engagement is held under legal professional privilege and in confidence. We will not disclose client information to third parties except where required by law, by regulatory authority, or with your express consent. This obligation survives termination of the engagement.
12. Termination
Either party may terminate an engagement by giving written notice in accordance with the Engagement Letter. Amanah Legal may terminate immediately if you breach these Terms, provide false or misleading information, fail to complete due diligence, or if continued representation would conflict with our professional obligations.
Upon termination, you remain liable for fees for work completed to the date of termination and for any disbursements already incurred.
13. Governing Law and Dispute Resolution
These Terms and any engagement with Amanah Legal are governed by the laws of Malaysia. Any dispute arising out of or in connection with these Terms or an engagement shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Kuala Lumpur, Malaysia.
14. General Provisions
- Entire Agreement: These Terms, together with any applicable Engagement Letter, constitute the entire agreement between the parties.
- Severability: If any provision of these Terms is found to be unenforceable, the remainder continues in full force and effect.
- Waiver: Failure to enforce any provision does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
- Notices: Formal notices must be in writing and delivered by email or registered post to the addresses in the Engagement Letter or this website.
15. Changes to These Terms
We may update these Terms from time to time. Changes will be published on this page with a revised effective date. Continued use of our website or services after publication constitutes acceptance of the updated Terms. For existing client engagements, material changes will be communicated directly.
